Tesla 3Q26 10-Q Scorecard: 19.6% Gross Margin vs. Note 11 IEEPA Tariff Refunds, 2.6% Operating Margin & >$20B CapEx
When reading Tesla's 3Q26 shareholder update (Exhibit 99.1) alongside its Form 10-Q for the quarter ended September 30, 2026 [1][2], three divergences stand out immediately: (1) total gross margin rose to 19.6% while GAAP operating margin dropped to 2.6% due to a 69.4% YoY surge in R&D spending; (2) Note 11 of the Form 10-Q discloses one-time IEEPA tariff refunds that materially boosted reported Automotive and Energy gross margins; and (3) free cash flow returned to positive +$1.531B even as full-year CapEx guidance remains above $20 billion.
- Headline vs. Note 11 Tariff-Adjusted Gross Margin: 3Q26 revenue was $28.046B (-0.2% YoY) and total gross margin was 19.6% ($5.494B gross profit, +160bp YoY). However, Form 10-Q Note 11 reveals IEEPA tariff refunds that reduced Automotive COGS by $260M and Energy COGS by $526M (alongside a $339M customer refund deducted from Energy revenue); excluding these items, my calculated ex-credit Automotive GM is ~16.8% (vs. 18.1% reported) and Energy GM is ~23.8% (vs. 33.1% reported).
- R&D Surge Compresses Operating Margin to 2.6%: Operating expenses jumped +39.2% YoY to $4.776B—driven by R&D rising +69.4% YoY to $2.761B (and SBC rising to $1.165B vs. $663M a year ago)—leaving GAAP operating income at $718M (-55.8% YoY, 2.6% OPM).
- FCF Recovery & >$20B FY26 CapEx: 3Q26 operating cash flow was $6.263B (+33.3% QoQ) and CapEx was $4.732B (+110.5% YoY; 9M cumulative $13.01B), yielding +$1.531B in FCF (recovering from -$1.092B in 2Q26). Full-year CapEx guidance of >$20B implies at least ~$6.99B of CapEx in 4Q26.
1. Segment Gross Margins & Form 10-Q Note 11 IEEPA Tariff Refund Bridge
In 3Q26, total revenue was $28.046B (-0.2% YoY), with vehicle deliveries down 2.1% YoY while Services & Other revenue rose +32.5% YoY (generating $734M in gross profit) and active FSD Supervised users reached 1.74 million (+67.3% YoY) [1][2]. Regulatory credits were $113M. When we inspect Note 11 of the 3Q26 Form 10-Q, Tesla recognized tariff refunds following the ruling on IEEPA tariffs [2]:
| Segment / Metric | 3Q25 | 2Q26 | 3Q26 Reported | 3Q26 Ex-Note 11 Tariff Refund (Author Calc.) |
|---|---|---|---|---|
| Total Gross Margin | 18.0% | 16.8% | 19.6% ($5.494B) | Includes Note 11 IEEPA tariff adjustments below |
| Automotive GM (Ex-Reg. Credits) | 15.4% | 16.3% | 18.1% | ~16.8% (adding back $260M COGS reduction) |
| Energy Generation & Storage GM | — | — | 33.1% | ~23.8% (reversing $526M COGS credit & $339M rev. refund) |
| GAAP Operating Income (OPM) | $1.624B (5.8%) | 1.4% OPM | $718M (2.6%) | OpEx $4.776B (+39.2% YoY); R&D $2.761B (+69.4% YoY) |
2. Cortex AI Compute Buildout, CapEx & Liquidity
Tesla spent $4.732B on CapEx in 3Q26 (+110.5% YoY vs. $2.248B in 3Q25; compared to $5.789B in 2Q26), bringing 9-month cumulative CapEx to $13.01B (vs. $6.13B in 9M25) [2]. In Texas, Cortex 1 (>105MW) and Cortex 2 (>120MW) are operational and expanding toward 400MW by year-end [1]. Because management reaffirmed full-year 2026 CapEx guidance of over $20 billion, 4Q26 CapEx would need to reach at least ~$6.99B (Author calculation: $20.0B − $13.01B). Ending cash and short-term investments rose to $45.45B (+$1.92B QoQ from $43.52B), supplemented by a $30B credit facility entered into in September 2026 [2].
